Terms of Sale, Use Restrictions, and Liability Release

By purchasing, accepting, or using any product (“Product”) sold by the seller (“Seller”), the purchaser or user (“User”) agrees to the following legally binding terms and conditions. These Terms are intentionally detailed to ensure that all responsibilities, risks, and obligations are clearly understood and accepted prior to purchase.

1. Assumption of Risk and Release of Liability

The User acknowledges that mechanical, electrical, and lithium-based products involve inherent hazards. By purchasing or using any Product, the User voluntarily assumes full responsibility for all associated risks and consequences, including but not limited to: possession, handling, installation, charging, storage, modification, transportation, operation, and disposal.
The Seller expressly disclaims all liability for property damage, personal injury, fire, explosion, electrocution, chemical leakage, loss of life, or any form of financial or consequential loss arising from or related to Product use or misuse. The User agrees that the Seller shall not be held liable under any theory of law for any damages resulting directly or indirectly from use of any Product.

2. No Warranty

All Products are sold strictly as-is, without warranties of any kind, express or implied. This includes but is not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
The Seller does not guarantee performance, reliability, or suitability for any specific application, nor does the Seller warrant that any Product will meet the User’s requirements, expectations, or safety standards. The User accepts full responsibility for evaluating the suitability of each Product prior to use.

3. Use Restrictions

Products are intended solely for lawful, private, and non-commercial purposes unless explicitly stated otherwise.
Products such as lithium-ion batteries, electrical components, or mechanical parts may not be certified for vehicular, transport, or micromobility use (including but not limited to e-bikes, scooters, or mopeds). Any such use is entirely at the User’s own risk and legal responsibility.
The Seller does not authorize or encourage modification or integration of Products into any device or system intended for public road or regulated use.

4. Legal Compliance and Location of Use

The User bears full responsibility for verifying and complying with all local, state, and federal laws governing purchase, ownership, or use of any Product.
This includes, but is not limited to, restrictions concerning lithium-ion batteries, high-voltage systems, energy storage devices, or structural components.
The Seller makes no representation as to legality or certification within any jurisdiction. The User agrees to perform due diligence and assumes all liability for ensuring compliance with applicable regulations before purchase, possession, or use.

5. User Responsibility and Indemnification

The User certifies they are at least 18 years of age and possess sufficient knowledge to handle and operate Products safely.
The User agrees to indemnify, defend, and hold harmless the Seller, its affiliates, officers, employees, contractors, and agents from any and all claims, losses, damages, or expenses (including legal fees) arising from or related to Product possession, use, modification, or resale.

6. Product Modification Disclaimer

Any alteration, modification, disassembly, reverse engineering, or combination of the Product with other components immediately voids any implied safety, functionality, or suitability.
The Seller assumes no responsibility for failures, hazards, or damages arising from modifications performed by the User or any third party.

7. Technical Information Disclaimer

Specifications, diagrams, images, measurements, and descriptions provided by the Seller are for general informational purposes only.
Actual appearance, tolerance, or performance may vary. The Seller reserves the right to alter or update any Product design, specification, or material composition without prior notice or obligation.

8. Component Compatibility

Products may be designed in reference to specific brands or models.
The Seller does not guarantee fitment, function, or performance when Products are used with non-specified components, third-party systems, or modified assemblies. Compatibility verification is solely the User’s responsibility.

9. Misuse and Safety Disclaimer

The Seller shall not be held responsible for any injuries, damages, or losses arising from misuse, negligence, or operation outside recommended parameters.
The User is responsible for using appropriate tools, protective gear, and safety measures at all times.
Failure to follow standard engineering or electrical safety practices may result in injury, fire, or death — risks the User expressly acknowledges and accepts.

10. Safety Responsibility

The User is responsible for maintaining a safe environment for assembly, testing, charging, or use of the Product.
Proper grounding, protective gear, fire prevention systems, and ventilation are required where applicable.
The Seller assumes no liability for injuries resulting from unsafe workspaces or improper procedures.

11. Export and Transport Compliance

The User is responsible for ensuring that transport, shipment, or export of the Product complies with all applicable laws, including hazardous materials, customs, and transportation safety regulations.
The Seller assumes no liability for customs seizure, carrier damage, or regulatory noncompliance during transit arranged by or on behalf of the User.

12. Final Sale Policy

All sales are final. No returns, exchanges, cancellations, or refunds are accepted under any circumstances.
The Seller provides no technical support, replacement parts, or servicing. All transactions are conclusive at the time of sale.

13. Resale and Redistribution Restrictions

The User shall not resell, rebrand, repackage, redistribute, or modify any Product without the Seller’s express written consent.
Unauthorized resale, particularly for use in regulated, commercial, or hazardous applications, is strictly prohibited.
Any individual or entity that resells Products without written authorization assumes full legal and financial responsibility for all resulting damages, claims, or liabilities.
The Seller reserves the right to refuse sale or pursue legal action against unauthorized resellers or distributors.

14. Limitation of Damages

To the fullest extent permitted by law, the Seller’s total cumulative liability, whether in contract, tort, or otherwise, shall not exceed the original purchase price of the Product.
Under no circumstances shall the Seller be liable for incidental, consequential, punitive, or special damages, including but not limited to loss of business, profits, or goodwill.

15. Intellectual Property Notice

All product designs, trademarks, packaging, names, images, and related materials are the exclusive property of the Seller.
Unauthorized reproduction, imitation, or use for commercial gain is strictly prohibited and may result in legal action.

16. Product Availability and Pricing

The Seller reserves the right to modify, suspend, discontinue, or change the price of any Product without prior notice.
The Seller shall not be liable for typographical errors, pricing inaccuracies, or discontinued product listings.

17. Third-Party Components or Services

If the Product incorporates or depends on third-party materials, hardware, or services, the Seller provides no guarantee for such components.
Users are bound by the third-party manufacturer’s terms and bear full responsibility for understanding and complying with them.

18. Product Testing and Certification

Unless expressly stated, Products are not certified under any regulatory or safety standard (UL, CE, FCC, DOT, or equivalent).
It is the User’s responsibility to obtain certification or ensure compliance if the Product is used in a regulated environment or commercial setting.

19. Insurance Requirement for Resellers

Any User reselling, integrating, or distributing Products commercially must maintain adequate general liability insurance and, upon request, name the Seller as an additional insured party.

20. Shipping Damage or Missing Items

All sales are final. However, any claims for shipping damage or missing parts must be submitted in writing within **seven (7) days** of delivery with photo evidence and order details.
The Seller may, at its sole discretion, assist in filing a carrier claim but bears no obligation to replace or refund damaged items.

21. Counterfeit and Fraud Protection

The Seller reserves the right to cancel or deny any order suspected of fraud, payment reversal, chargeback manipulation, or unauthorized resale.
The Seller may share transaction details with law enforcement or payment processors for fraud prevention purposes.

22. Governing Law

All transactions and disputes shall be governed by the laws of the Seller’s primary business jurisdiction, without regard to conflicts of law.
The User agrees that all legal proceedings shall occur in that jurisdiction exclusively.

23. Force Majeure

The Seller shall not be liable for delays, failures, or inability to perform obligations due to events beyond its control, including natural disasters, accidents, war, labor disputes, power outages, material shortages, or government actions.

24. Privacy and Data Handling

Any information collected during purchase is used solely for transaction fulfillment and recordkeeping.
The Seller does not sell or rent personal data but may share necessary details with payment processors, carriers, or authorities for legitimate business or compliance purposes.

25. Updates to Terms

The Seller reserves the right to modify these Terms at any time without prior notice.
Continued purchase or use after publication of changes constitutes acceptance of the updated Terms.

26. Photography and Marketing Use

By purchasing or using any Product, the User grants the Seller a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, distribute, and display any image, video, or media in which the Product appears.
This includes media created by the User or any third party, regardless of platform or ownership.
The Seller may use such media for marketing, advertising, documentation, or promotional purposes without notice, attribution, or compensation to the User.

27. Notices and Communication

All formal correspondence must be directed to the Seller through the official business email or mailing address as listed on the Seller’s website.
Informal communication on social media or third-party platforms does not constitute notice.

28. Interpretation Clause

Section headings and formatting are provided for readability only and do not affect interpretation, enforcement, or validity of any provision.

29. Severability

If any section of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full effect and enforceable to the maximum extent permitted by law.

30. Entire Agreement

These Terms constitute the full and exclusive agreement between the Seller and the User, superseding any prior written or verbal communication.
No amendment or waiver is valid unless issued in writing by the Seller.

31. Dispute Resolution and Arbitration

Any dispute or claim arising from a Product or transaction shall be resolved through binding arbitration in a legally recognized jurisdiction selected by the Seller.
Both parties waive the right to trial by jury or to pursue class-action litigation, except to enforce arbitration awards.

32. Acknowledgment of Terms

By completing a purchase, the User affirms they have read, understood, and voluntarily agreed to every section of this Terms of Sale, Use Restrictions, and Liability Release.
The User acknowledges that the length, structure, and detail of this document are intentional and signify the importance of assuming full legal and personal responsibility.

33. Reminder of Personal Obligation

The Seller strongly encourages Users to re-read these Terms in their entirety, verify understanding, and exercise caution, diligence, and personal accountability when handling, modifying, or using any Product.
Ignorance of these Terms does not exempt the User from responsibility or liability under applicable law.

These Terms are legally binding upon purchase and automatically renewed with each transaction involving the Seller’s products or services.
